Before publication, BTCMarts must insert the operator’s full legal name, CAC registration number, physical address, support email, privacy contact, complaints contact, and verified regulatory or licensing status. Nothing in this document should be read as claiming a licence or approval that has not been formally granted.

1. Agreement and scope
These Terms govern access to btcmarts.com, related mobile or web interfaces, approved physical outlets, agent tools, transaction-history services, Bitcoin exchange facilitation, power-sharing services, collectible-network functions, Activity Keys, communications and support (together, the “Services”). By creating an account, clicking acceptance, buying a Key, registering as an agent, submitting an exchange request, or otherwise using a Service, you agree to these Terms and the policies incorporated by reference.
If you act for a business or organisation, you confirm that you have authority to bind it. If you do not agree, do not use the Services. Additional product-specific terms shown before a transaction form part of this agreement and prevail for that transaction if they conflict with these general Terms.
2. Operator and regulatory status
“BTCMarts”, “we”, “us” and “our” mean the legal entity identified in the completed publication version. BTCMarts must disclose whether it acts as principal, marketplace, technology provider, agent network, payment coordinator or another role for each service.
Digital-asset activities may require registration, approval, licensing, incubation or other regulatory permission. Availability of a feature does not represent that it is regulated, insured, endorsed by government, or equivalent to a bank account. BTCMarts may limit, suspend or restructure a service to comply with law or a regulator’s direction.
3. Eligibility and accounts
You must be at least 18, legally capable of contracting, located in a supported jurisdiction, and not prohibited by sanctions, court order or law. One natural person or authorised entity may maintain only the accounts we permit.
You must provide accurate information, keep it current, protect passwords, passcodes, authenticator devices and recovery methods, and promptly report compromise. You are responsible for activity conducted through your credentials unless caused solely by our proven breach. Accounts may not be sold, rented, shared, transferred or used as a nominee for another person.
4. Verification and acceptable use
We may require identity, address, source-of-funds, source-of-wealth, beneficial-ownership, bank-account, wallet-control, device or transaction-purpose evidence before or after any transaction. Refusal or delay may result in limits, holds, cancellation or termination.
You must not use BTCMarts for fraud, money laundering, terrorism or proliferation financing, sanctions evasion, ransomware, theft, scams, unlawful gambling, market manipulation, counterfeit goods, unauthorised financial services, trafficking, tax evasion, layering, structuring, mule activity, third-party pass-through transactions, abuse of promotions, scraping, malware, security testing without permission, impersonation or infringement.
5. Bitcoin exchange transactions
A displayed quote is indicative until BTCMarts confirms the order and required payment or Bitcoin confirmations. Network congestion, volatility, liquidity, banking delays, inaccurate instructions and compliance review can change completion time or price. The confirmation screen or transaction receipt states the applicable rate, fee, network requirement and settlement method.
You must verify the Bitcoin network, wallet address, amount, payout details and beneficiary before confirming. Blockchain transfers are generally irreversible. BTCMarts is not responsible for loss caused by an incorrect address, wrong network, unsupported asset, user-controlled wallet compromise, third-party bank reversal, or transaction sent outside the authorised order flow, except to the extent caused by BTCMarts’ fraud, wilful misconduct or liability that law does not permit us to exclude.
We may reject, re-quote, expire or cancel an order where payment is late, the amount differs, verification fails, liquidity changes materially, there is an obvious pricing error, a third party is involved, or the transaction presents legal, fraud or operational risk. Any return of funds or digital assets is subject to law, network feasibility, compliance clearance and applicable charges.
6. Power-sharing service
The power-sharing service may include subscription access, allocation to participating partners, exchange or access to supported power-bank devices, and a recorded service history. Availability depends on location, inventory, power, connectivity, partner participation and device condition.
Users must follow safety, charging, handling, return, hygiene and manufacturer instructions; inspect devices before use; stop using damaged, swollen, wet, overheated or abnormal equipment; and report incidents immediately. Users may be charged disclosed replacement, recovery or repair amounts for loss or damage beyond reasonable wear, subject to investigation and applicable consumer law.
Subscription does not guarantee continuous availability, a particular device, uninterrupted electricity or assignment to a particular partner. BTCMarts may rotate or reassign users among eligible partners to operate the network fairly and safely.
7. Collectibles network
Collectibles are sold or exchanged according to the item description, provenance information, condition statement and fulfilment terms displayed at purchase. Unless explicitly stated, no collectible represents Bitcoin, equity, debt, a security, a profit share, intellectual-property ownership, guaranteed scarcity, investment performance or a right to redemption.
Images may differ slightly from physical colour or finish. Users must review item-specific authenticity, delivery, inspection and return terms. Counterfeit, stolen, infringing or unlawfully obtained items are prohibited.
8. Activity Keys
An Activity Key is a limited, revocable or continuing access credential as described at purchase. It may unlock participation tools, identity within the network, service history, agent or partner functionality, or future eligible activities. A Key is bought “as is”. Key purchases are final and non-refundable except where mandatory law requires otherwise.
A Key does not promise or define recurring benefits, income, commissions, appreciation, dividends, profit, allocation of users, future products, voting rights, ownership in BTCMarts, or a return of capital. Any benefit is discretionary, activity-dependent, eligibility-dependent, may change or end, and must be separately confirmed in writing. Keys may not be marketed as investments or guaranteed-income products.
We may suspend, revoke or restrict a Key for fraud, resale contrary to rules, misuse, account compromise, legal requirements, inactivity rules disclosed at purchase, or material breach. Revocation for user breach does not create a refund right.
9. Agents and commissions
Agents are independent participants, not employees, directors, partners, fiduciaries or authorised representatives able to bind BTCMarts. Agents may only use approved materials, must state fees and risks accurately, must not promise profit or guaranteed commission, must not hold client credentials, and must not receive or redirect client assets outside approved flows.
Commission is earned only when a qualifying BTC transaction is completed, verified, not reversed, not fraudulent, attributed under the current commission rules and otherwise eligible. Rates, attribution windows, settlement thresholds, taxes and exclusions are displayed in the agent dashboard or schedule. Pending figures are estimates, not debt due. BTCMarts may reverse commissions linked to refunds, chargebacks, duplicate accounts, self-referrals, collusion, manipulation or unlawful activity.
Agent registration fees are governed by the separate Refund and Cancellation Policy. In summary: they become non-refundable after three months from successful registration. Before that deadline, a refund may be requested only where no commission has been issued to the agent during the three-month period; an approved refund is reduced by a 20% processing deduction. Key purchases remain non-refundable and are not agent-registration fees.
10. Fees, taxes and records
You must pay all disclosed fees, spreads, network charges, subscriptions, replacement costs, taxes and third-party charges. BTCMarts will show material transaction charges before confirmation where reasonably practicable. You are responsible for personal tax reporting and should obtain independent tax advice.
The service history is an operational record and may not be a bank statement, tax statement or blockchain record. You should retain confirmations and promptly dispute errors within the period stated in the applicable policy.
11. Suspension, termination and effect
We may apply limits, delay settlement, freeze functionality, preserve records, suspend or terminate access where reasonably necessary for security, compliance, investigation, service integrity, non-payment or breach. Where lawful and safe, we will provide notice and a route to appeal.
Termination does not erase completed transactions, accrued liabilities, AML records, lawful retention duties, indemnities, dispute provisions or clauses intended to survive. Funds or assets remaining after closure will be handled according to law, verified ownership, sanctions restrictions and operational feasibility.
12. Intellectual property and communications
BTCMarts branding, software, layouts, databases, content and approved agent materials are owned by or licensed to BTCMarts. You receive a limited, personal, non-exclusive, non-transferable permission to use the Services for their intended purpose.
Service notices may be delivered through the dashboard, email, SMS, push notification, WhatsApp where opted in, or another verified channel. Marketing consent is optional and may be withdrawn without affecting essential service messages.
13. Disclaimers and liability
The Services are provided on an “as available” basis. We do not guarantee uninterrupted access, transaction timing, third-party performance, Bitcoin value, commission volume, collectible value, power-bank availability or defined recurring Key benefits.
Nothing is investment, legal, tax or financial advice. To the maximum extent permitted by law, BTCMarts is not liable for indirect, special, consequential or speculative losses, lost profit, lost opportunity or market movement. Any aggregate contractual cap must be completed by Nigerian counsel and must not exclude liability that cannot lawfully be limited, including fraud or wilful misconduct.
14. Complaints, disputes and governing law
Contact [COMPLAINTS EMAIL] with your account identifier, transaction reference, facts, requested resolution and supporting evidence. We will acknowledge and investigate under our complaints procedure. Users should first allow BTCMarts a reasonable opportunity to resolve the matter.
These Terms are governed by Nigerian law. The final publication version should specify the courts or a valid arbitration process, venue, language, cost allocation and consumer-law carve-outs after legal review. Regulatory complaint rights remain available.
15. Changes and contact
We may update these Terms for legal, security, product or operational reasons. Material changes will be notified before they take effect where required. Continued use after the effective date constitutes acceptance only to the extent permitted by law.

Agent registration fee refunds
- A refund request must be received within three calendar months after successful registration.
- A refund is available only where no commission has been issued, credited, paid or made available during that period.
- An approved refund has a 20% processing and administration deduction; the eligible agent receives 80%.
- After three calendar months, or if a qualifying commission has been issued during that period, the registration fee is non-refundable.
Service Keys
Service Keys are purchased as-is and are non-refundable except where mandatory law requires otherwise. They do not guarantee recurring benefits, commissions, customers, subscription revenue, profit, appreciation, ownership or return of capital.
